FindMyTutor UAE — Tutor Agreement

1. Introduction

This Tutor Agreement ("Agreement") sets out the terms specifically applicable to tutors who use FindMyTutor UAE ("the Platform"), operated by Zyron FZE LLC ("we", "us", "our"). By creating a tutor account, completing a tutor profile, subscribing to a paid plan, or otherwise using tutor features, you agree to be bound by this Agreement, in addition to our Terms of Service, Privacy Policy, Acceptable Use Policy, Subscription, Billing & Refund Policy, and other applicable policies.

If there is any conflict between this Agreement and our Terms of Service, the Terms of Service prevail unless this Agreement expressly states otherwise.

2. Nature of the Relationship

2.1 Independent Service Provider

You acknowledge and agree that you are an independent service provider. You are not an employee, worker, agent, partner, joint venturer, or representative of Zyron FZE LLC.

FindMyTutor UAE acts solely as a marketplace and technology provider that helps you connect with potential students. We do not control your tutoring services, your hours, your prices, your teaching methods, or your business decisions.

2.2 No Exclusivity

You are free to provide tutoring services through any other channel, platform, or directly with your own clients. We do not require exclusivity. You are also free to refuse to engage with any particular request, message, or student for any lawful reason.

3. Tutor Eligibility and Legal Compliance

By using the Platform as a tutor, you confirm and warrant on a continuing basis that:

You are at least 18 years of age.
You are legally permitted to provide tutoring services in the United Arab Emirates.
Your tutoring activity does not breach the conditions of your visa, residency, employer's terms, or any licence or authorisation that applies to you.
You will obtain any permission, licence, or registration required by your circumstances (for example, freelance permits or no-objection certificates) where applicable.
You will pay any taxes, fees, or other charges that apply to your tutoring income. Zyron FZE LLC does not assess, verify, or assume responsibility for any tutor's legal eligibility to tutor or for the legal consequences of any tutor's activities. You are solely responsible for your compliance.

4. Your Responsibilities as a Tutor

4.1 Profile Accuracy

Provide truthful, accurate, complete, and up-to-date information.
Use a clear photograph of yourself, where you choose to display one. You must not use photographs of other people, stock images, or AI-generated images that misrepresent your identity.
Not exaggerate qualifications, experience, results, or affiliations.
Update your profile promptly when material details change.

4.2 Professional Conduct

Communicate respectfully and professionally with students and parents.
Respond to messages within a reasonable time where you intend to engage with the request.
Set clear expectations about availability, pricing, and methods.
Honour any commitments you have made.
Comply with all applicable laws, rules, and standards.

4.3 Service Delivery

You are solely responsible for:

Lesson planning, structure, and content.
Quality of teaching.
Scheduling, attendance, cancellations, and rescheduling.
Setting and collecting your fees.
Issuing receipts or invoices where required.
Refunds for lessons (this is separate from refunds for Platform subscriptions, which are governed by our Subscription, Billing & Refund Policy).
Any tax, accounting, or record-keeping obligations that apply to you.

5. Profile and Verification

5.1 Optional Verification

You may voluntarily upload supporting documents (such as qualification certificates, identity documents, or proof of experience) for review by our team. Approved tutors receive a Verified badge on their public profile.

Verification is optional. You can use the Platform without it. However:

You must not falsify, alter, or impersonate documents you upload.
You must not claim to be "verified" if your verification has not been approved or has been revoked.
We may approve, reject, or revoke verification at our discretion, including where information is misleading or inconsistent.

5.2 What Verification Means and Does Not Mean

The Verified badge indicates only that we have reviewed the documents you submitted and consider them, on their face, to be authentic and consistent with your claims. It is not a guarantee of teaching ability, results, conduct, or character. Tutors without a Verified badge are not implied to be untrustworthy; verification is simply optional and not all tutors choose to submit documents.

6. Communication and Contact Details

6.1 Subscription Required for Messaging

To send messages or replies to students or parents, you must have paid access (an active paid subscription or free trial). Without paid access, you may receive a notification that a message has been sent to you, but you cannot read its content or reply until you have paid access.

6.2 Use of Contact Details

You may only access a student's email or phone number where: (i) the student has chosen to share that detail in their account settings; and (ii) you have paid access (an active paid subscription or free trial). Contact details may be used solely to arrange and deliver tutoring services to that specific user.

You must not:

Store, copy, or process contact details beyond what is reasonably necessary for that user's tutoring arrangement.
Share, sell, or transfer contact details to any third party.
Add users to mailing lists, broadcast lists, or marketing channels without their explicit, separate consent.
Use contact details to market services unrelated to that user's tutoring request.
Try to bypass any privacy control where the user has chosen not to share contact details.

6.3 Communicating With Students and Parents

Be respectful and professional at all times.
Keep communication appropriate and tutoring-related.
Where you are dealing with a minor, involve the parent or guardian as appropriate.
Do not pressure or coerce users into commitments.
Do not engage in spamming or repeated unwanted contact.

7. Working With Minors

Many users on the Platform are minors or are parents acting on behalf of minors. You must therefore:

Maintain professional boundaries at all times.
Avoid private channels of communication with a minor that exclude the parent or guardian, unless the parent or guardian has explicitly authorised the channel.
Avoid romantic, suggestive, sexual, or otherwise inappropriate communication with a minor.
Avoid sharing personal contact details (social media handles, personal phone numbers, etc.) with a minor outside the scope of legitimate tutoring arrangements.
Comply with the Safeguarding & Safety Policy. Any conduct that creates a safeguarding concern will be treated extremely seriously and may result in immediate termination and referral to the authorities.

8. In-Person Tutoring

If you provide in-person tutoring:

Choose appropriate, safe, and lawful locations for lessons.
Where lessons take place at a student's home, respect household rules and the privacy of the family.
Where lessons involve a minor, ensure a parent or guardian is aware of and has agreed to the arrangement.
Take reasonable steps for your own safety, particularly when meeting a new student for the first time. Zyron FZE LLC is not a party to any in-person arrangement and is not responsible for incidents that occur during or in connection with in-person sessions.

9. Online Tutoring

If you provide online tutoring:

Use appropriate and reputable video, audio, or messaging platforms.
Avoid recording sessions without the informed consent of all participants (and, in the case of minors, the parent or guardian).
Maintain the same professional standards as you would in person.
Take reasonable steps to keep the lesson environment appropriate.

10. Payments for Tutoring Services

Zyron FZE LLC does not handle, process, or hold payments for tutoring lessons. All lesson fees are arranged and paid directly between you and the student or parent. We are not a party to any such payment arrangement and are not responsible for unpaid lessons, cancellations, or disputes between you and a student or parent.

11. Subscriptions

Detailed terms governing tutor subscriptions, including pricing, billing, automatic renewal, cancellation, refunds, and chargebacks, are set out in our Subscription, Billing & Refund Policy. By subscribing, you agree to those terms.

Paid access includes an active free trial. Free trials are governed by Section 10.6 of the Terms of Service and are limited to one per person. Tutors with paid access may choose to show their email address and/or phone number to logged-in students and parents; these settings are off by default and stop applying if paid access ends. Student and parent contact details are visible only where the student or parent has switched on sharing in their account settings, and only while the tutor has paid access.

In summary, you should be aware that:

Subscriptions auto-renew until cancelled.
Paid features are made available immediately upon successful payment, and you waive any cooling-off right to the extent permitted by law.
Once access has been granted, payments are non-refundable except in limited circumstances.
Subscriptions provide access to features, not guaranteed leads, bookings, or income.

12. No Guarantee of Students or Income

We do not guarantee that you will receive any specific number of messages, leads, bookings, or any specific level of income from your use of the Platform. Outcomes depend on many factors outside our control, including the quality and completeness of your profile, your responsiveness, your pricing, and demand at any given time.

13. Reviews and Ratings

Where the Platform allows students to leave reviews or ratings about you, you agree that:

Reviews submitted by genuine users may be displayed publicly on your profile.
We may moderate, hide, or remove reviews that breach our policies (for example, reviews that are abusive, defamatory, or fake).
You must not solicit fake reviews, write reviews about yourself, or attempt to manipulate the review system.
You must not threaten or pressure a student or parent to alter, remove, or refrain from leaving a review.

14. Suspension and Termination

We may suspend or terminate your tutor account in line with our Terms of Service and Acceptable Use Policy. Where access is removed for cause (for example, breach of policy, fraud, or safeguarding concerns), you are not entitled to a refund of any subscription fees paid prior to termination.

15. Limitation of Liability

To the maximum extent permitted by UAE law, Zyron FZE LLC is not liable for: (i) loss of income or business; (ii) the conduct of any student, parent, or guardian; (iii) the success or otherwise of any tutoring arrangement; or (iv) any indirect or consequential losses. The general limitations set out in our Terms of Service apply.

16. Indemnity

You agree to indemnify, defend, and hold harmless Zyron FZE LLC and its officers, directors, employees, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (i) your tutoring activities; (ii) any breach by you of this Agreement, the Terms of Service, or applicable law; (iii) your interactions with students, parents, or guardians; or (iv) any content you submit to the Platform.

17. Changes to This Agreement

We may update this Agreement from time to time. The most current version will be posted on the Platform with an updated "Last Updated" date. Where the changes are material, we will take reasonable steps to notify you. Your continued use of tutor features after the changes take effect constitutes acceptance of the updated Agreement.

18. Governing Law

This Agreement is governed by the laws of the United Arab Emirates and is subject to the exclusive jurisdiction of the UAE courts, on the same basis as set out in our Terms of Service.
