1. Introduction and Legal Identity

FindMyTutor UAE ("FindMyTutor", "the Platform", "we", "us", "our") is a digital marketplace operated by Zyron FZE LLC, a company duly incorporated and registered in the Emirate of Ajman, United Arab Emirates.

FindMyTutor UAE is the trading name and consumer-facing brand under which Zyron FZE LLC provides its tutoring marketplace services. All references to "FindMyTutor", the "Platform", or the "Service" in these Terms refer to services provided by Zyron FZE LLC.

These Terms of Service (the "Terms") form a legally binding agreement between you (the "User", "you" or "your") and Zyron FZE LLC. The Terms govern your access to and use of the Platform, including the website, mobile-responsive interfaces, account features, communication tools, paid subscriptions, and any related services.

By creating an account, posting a request, browsing tutor profiles, subscribing to a paid plan, or otherwise using the Platform, you confirm that you have read, understood, and agreed to be bound by these Terms together with our Privacy Policy, Cookie Policy, Acceptable Use Policy, and any other policies referenced herein. If you do not agree to these Terms, you must not use the Platform.

2. About the Platform

FindMyTutor UAE operates as a technology-enabled marketplace that helps connect people seeking tutoring with people willing to provide it. The Platform is designed for use across the United Arab Emirates and is intended primarily for users located in the UAE.

2.1 What the Platform Does

The Platform allows:

• Students, parents, and legal guardians to create accounts, post tutoring requests, and browse tutor profiles free of charge.
• Tutors to create profiles, browse posted requests, and (subject to a paid subscription) view contact details where shared and use the Platform's messaging system.
• Both sides to communicate through the Platform's messaging tools and, where the user has opted in, share contact details directly.

2.2 What the Platform Does Not Do

FindMyTutor UAE is a marketplace and technology provider only. We do not:

• Provide, deliver, or supervise tutoring services.
• Employ, contract, or engage tutors as agents, representatives, or workers.
• Set, control, or guarantee tutor pricing, availability, quality, conduct, or outcomes.
• Verify the identity, qualifications, eligibility, or background of every user (an optional verification badge is offered, as set out in Section 8).
• Process or hold lesson payments between students and tutors.
• Mediate, arbitrate, or assume liability for disputes between users. All tutoring arrangements, including scheduling, fees, lesson delivery, cancellations, and refunds for lessons, are made directly between the student (or parent/guardian) and the tutor, entirely at their own discretion and risk.

3. Eligibility

3.1 Age Requirements

By creating an account, you confirm that you are at least 18 years of age, OR that you are a parent or legal guardian creating and managing the account on behalf of a minor in your care. Where an account is created on behalf of a minor, the parent or guardian assumes full responsibility for all activity on that account, including communications, requests posted, tutor selection, and lesson arrangements.

We do not collect or display dates of birth, but you are responsible for ensuring this eligibility requirement is met. Misrepresenting age or guardianship is a material breach of these Terms and may result in account suspension or termination.

3.2 Tutor Eligibility

Tutors must independently ensure they are legally permitted to provide tutoring services in the UAE. This includes (where applicable) compliance with UAE labour and immigration laws, visa and residency conditions, employer restrictions on secondary income, and any licensing or regulatory requirements that apply to their profession.

Zyron FZE LLC does not assess, verify, or assume responsibility for any tutor's legal eligibility to tutor. Tutors are solely responsible for their own legal compliance.

4. Account Registration and Security

To access most features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and promptly update your account information.
• Keep your login credentials confidential and not share them with anyone.
• Use only one account per person, except where you legitimately operate accounts on behalf of others (for example, a parent managing student accounts).
• Notify us immediately at [email protected] if you suspect any unauthorised access to your account. You are solely responsible for all activity that occurs under your account, whether or not authorised by you.

5. Acceptance of Terms and Subscription Conditions

When you create an account, you will be required to confirm that you have read and accepted these Terms, our Privacy Policy, Cookie Policy, and Acceptable Use Policy. Acceptance is given by ticking the relevant box at registration; this constitutes your express, informed, and freely given consent to these Terms.

5.1 Acceptance When Subscribing to a Paid Plan

When a tutor purchases a paid subscription, the tutor confirms at checkout that they have read and accepted the Subscription, Billing & Refund Policy, that they wish to receive immediate access to all paid features upon successful payment, and that they accordingly waive any statutory cooling-off or withdrawal right that would otherwise apply to digital services granted on demand. This waiver applies only to the extent permitted under applicable UAE law and does not limit any non-waivable consumer rights.

Acceptance of these Terms includes acceptance of this waiver where the tutor proceeds to purchase a subscription. The tutor may cancel a subscription at any time to prevent further renewal charges, as set out in the Subscription, Billing & Refund Policy.

6. User Roles

6.1 Students, Parents and Guardians

Students, parents, and guardians use the Platform free of charge. They may create an account, post tutoring requests, browse tutor profiles, view available information, and (after creating an account) initiate messaging with tutors. They may also choose whether to share their email address and phone number with tutors who have an active paid subscription, as described in Section 9.

6.2 Tutors

Tutors create profiles describing the subjects, levels, locations, rates, and availability of the tutoring services they offer. Tutors may browse posted requests and tutor profiles free of charge. To unlock the ability to view shared contact details and to send messages on the Platform, a tutor must hold an active paid subscription as described in Section 10.

Tutors are independent service providers. They are not employees, agents, partners, joint venturers, or representatives of Zyron FZE LLC. Nothing in these Terms or in the Platform creates any such relationship.

7. Profiles, Requests and Content

7.1 Accuracy

All information you provide on your profile or in any request must be accurate, current, lawful, and not misleading. Tutors must not exaggerate qualifications, fabricate experience, or guarantee results they cannot deliver. Students and parents must not post false, misleading, or unlawful requests.

7.2 Our Rights Over User Content

We reserve the right (but not the obligation) to review, edit, restrict, or remove any profile, request, message, or other content that we reasonably believe violates these Terms, the Acceptable Use Policy, applicable law, or the spirit of the Platform. We may take action with or without prior notice.

7.3 Licence You Grant Us

By submitting content to the Platform (including profile information, requests, photos you have the right to use, biographies, messages, and reviews), you grant Zyron FZE LLC a non-exclusive, royalty-free, worldwide licence to host, store, display, transmit, and use that content solely for the purpose of operating, improving, promoting, and supporting the Platform. This licence ends when you delete the content, except where retention is required for legal, fraud-prevention, or dispute-resolution purposes.

8. Verification

Tutors may voluntarily upload supporting documents — such as qualification certificates, proof of identity, or evidence of professional experience — for review by our team. Approved tutors receive a "Verified" badge on their public profile. Verification is optional and is not a condition of using the Platform.

The Verified badge indicates only that we have reviewed the documents submitted by that tutor and consider them, on the face of the documents, to be authentic and consistent with the tutor's claims. The Verified badge is not a guarantee of teaching ability, conduct, identity, character, or any specific outcome. We may grant or refuse verification at our sole discretion and may revoke a Verified status at any time.

Students and parents must conduct their own due diligence when selecting a tutor, regardless of whether that tutor displays the Verified badge.

9. Communication and Privacy Controls

9.1 Messaging

The Platform provides a messaging system for users to communicate. Students may send messages to tutors free of charge once they have created an account. Tutors must hold an active paid subscription to send messages or replies. Tutors without an active subscription will be notified that a message has been received but cannot read or respond to it without subscribing.

9.2 Sharing Contact Details

When posting a request or managing a profile, students and parents control whether their email address and phone number are shared with subscribing tutors. By default, contact details are not shared; users must actively opt in. If shared, only tutors with an active paid subscription may view those details. If not shared, all communication must take place through the Platform's messaging system.

9.3 No Misuse of Contact Details

Tutors must not store, copy, share, sell, scrape, or otherwise misuse any contact information obtained through the Platform. Contact details may be used solely to arrange and deliver tutoring services to that specific user. Bulk extraction or use of contact details for marketing unrelated to the user's tutoring request is strictly prohibited and constitutes a serious breach of these Terms.

10. Subscriptions, Billing and Payments

Certain Platform features for tutors require a paid subscription. The detailed terms governing pricing, billing cycles, automatic renewal, cancellation, refunds, and chargebacks are set out in the Subscription, Billing & Refund Policy, which forms part of these Terms by reference.

10.1 Payment Processor

All payments are processed by Stripe, a third-party payment service provider. Zyron FZE LLC does not store full card numbers, CVV codes, or other sensitive payment credentials. By making a payment, you also accept Stripe's terms of service and privacy policy.

10.2 Pricing

All subscription prices are displayed in UAE Dirhams (AED) on the Pricing page before purchase. Prices are inclusive of any applicable VAT or other taxes unless stated otherwise. We may change prices at any time; changes apply to new subscriptions and to renewals only after reasonable notice has been given.

10.3 Auto-Renewal

All subscriptions automatically renew at the end of each billing period using your saved payment method, at the then-current price for the same plan, unless cancelled before the renewal date. You authorise these recurring charges by subscribing.

10.4 Cancellation

You may cancel your subscription at any time from your account dashboard. Cancellation prevents future renewals but does not entitle you to a refund of any portion of the current billing period; you retain access to paid features until the end of the period for which you have paid.

10.5 No Guarantee of Earnings or Results

Paid subscriptions provide access to Platform features only. They do not guarantee that a tutor will receive messages, leads, bookings, students, or any specific level of income. Tutors accept this expressly when subscribing.

11. Refunds and Chargebacks

Once a tutor has accessed paid features, payments are non-refundable except in the limited circumstances set out in the Subscription, Billing & Refund Policy (such as duplicate payments, technical errors, or unauthorised transactions). Discretionary refunds may be granted in exceptional cases but do not create any obligation to grant future refunds.

Before initiating a chargeback with your bank or card issuer, you must contact us at [email protected]. Initiating a chargeback without first attempting to resolve the issue with us, or in respect of charges that are valid under these Terms, may result in account suspension and recovery of related costs.

12. Marketplace Disclaimer and Independent Tutoring Arrangements

All tutoring arrangements are independent agreements between the student (or parent/guardian) and the tutor. Zyron FZE LLC is not a party to those arrangements and assumes no responsibility for them, including but not limited to:

• The quality, content, conduct, or outcome of any tutoring session.
• Lesson scheduling, attendance, cancellations, or rescheduling.
• Lesson fees, deposits, payments, or refunds between users.
• Student progress, grades, exam results, or academic outcomes.
• The behaviour, character, or actions of any user, online or offline.
• Any in-person interactions, including travel to and from lessons. Users acknowledge that they engage with other users at their own risk and are responsible for taking reasonable precautions, including (where applicable) parental supervision of minors and selection of appropriate lesson venues.

13. Prohibited Conduct

You must not, and must not attempt to:

• Provide false, misleading, or fraudulent information on the Platform.
• Impersonate any other person or entity, or misrepresent your affiliation with anyone.
• Harass, threaten, abuse, or discriminate against any user.
• Misuse another user's contact details or personal data.
• Send spam, bulk messages, or messages unrelated to legitimate tutoring purposes.
• Use the Platform to offer, request, or facilitate any illegal service.
• Bypass the Platform's paywall, privacy controls, or security features (for example, by creating duplicate accounts, manipulating rankings, or scraping data).
• Introduce malware, attempt unauthorised access, or interfere with Platform infrastructure.
• Violate any applicable UAE law, regulation, or third-party right. Additional rules are set out in the Acceptable Use Policy.

14. Suspension and Termination

We may, at our sole discretion and without prior notice, suspend, restrict, or terminate your account or any part of your access to the Platform if we reasonably believe that you have:

• Breached these Terms or any other policy.
• Provided false or misleading information.
• Misused the Platform or harmed another user.
• Engaged in fraud, abuse, or unlawful conduct.
• Created safeguarding or safety concerns. Where reasonable and lawful to do so, we will give you notice and an opportunity to remedy the breach. We may also terminate accounts that have been inactive for an extended period, after reasonable notice. You may close your account at any time by contacting [email protected] or using the relevant function in your account settings.

15. Intellectual Property

15.1 Platform Content

All content provided by Zyron FZE LLC on the Platform — including the FindMyTutor name, logo, branding, design, software, written copy, and graphics — is owned by or licensed to Zyron FZE LLC and is protected by intellectual property laws. You may not copy, reproduce, distribute, sell, modify, or create derivative works from this content without our prior written permission, except as expressly permitted by law.

15.2 User-Submitted Content

You retain ownership of content you submit to the Platform but grant us the licence described in Section 7.3.

15.3 Reporting Infringement

If you believe content on the Platform infringes your intellectual property rights, please contact [email protected] with: (i) details of the content concerned; (ii) the right you claim has been infringed; (iii) your contact details; and (iv) a statement that you are the rights-holder or authorised to act on their behalf. We will investigate and act on legitimate claims promptly.

16. Platform Availability

We aim to keep the Platform available at all times but do not guarantee uninterrupted, error-free, or secure operation. The Platform may be temporarily unavailable due to maintenance, upgrades, or causes beyond our control. We are not liable for losses arising from such unavailability.

17. Third-Party Services

The Platform integrates with third-party services, including Stripe (payments), Resend (transactional email), our hosting providers, and analytics tools. Your use of features powered by these third parties is also subject to their own terms and privacy policies. Zyron FZE LLC is not responsible for the acts, omissions, or content of third-party services.

18. Limitation of Liability

To the maximum extent permitted by UAE law, Zyron FZE LLC, its directors, officers, employees, and affiliates shall not be liable for:

• Any indirect, incidental, consequential, special, exemplary, or punitive losses.
• Loss of profits, revenue, business opportunity, anticipated savings, goodwill, data, or reputation.
• The acts, omissions, conduct, content, or performance of any other user (including any tutor or student).
• Any matter arising out of in-person interactions or offline arrangements.
• Any loss or damage caused by events beyond our reasonable control. Where liability cannot be excluded under applicable law, our total aggregate liability to any user in respect of all claims arising out of or in connection with the Platform shall be limited to the greater of: (a) the total amount paid by that user to Zyron FZE LLC in the twelve (12) months preceding the event giving rise to the claim; or (b) AED 500.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable UAE law.

19. Indemnity

You agree to indemnify, defend, and hold harmless Zyron FZE LLC and its officers, directors, employees, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (i) your use of the Platform; (ii) your breach of these Terms or any applicable law; (iii) your interactions with other users; or (iv) any content you submit.

20. Changes to These Terms

We may update these Terms from time to time to reflect changes in law, our services, or our business. The most current version will always be posted on the Platform with an updated "Last Updated" date. Where the changes are material, we will take reasonable steps to notify you (for example, by email or by an in-platform notice). Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

21. Governing Law and Jurisdiction

These Terms and any non-contractual obligations arising in connection with them are governed by the laws of the United Arab Emirates, including the federal laws of the UAE and the laws of the Emirate of Ajman where applicable. The courts of the United Arab Emirates shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Platform, save that we may bring proceedings against you in any jurisdiction where you are resident or carrying on business.

22. General

22.1 Entire Agreement

These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy, Subscription, Billing & Refund Policy, Tutor Agreement (where applicable), Student, Parent & Guardian Terms (where applicable), Safeguarding & Safety Policy, Data Retention & Processing Policy, and Disclaimer, form the entire agreement between you and Zyron FZE LLC concerning the Platform.

22.2 Severability

If any provision of these Terms is found by a court of competent jurisdiction to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force.

22.3 No Waiver

Our failure to enforce any right or provision of these Terms is not a waiver of that right or provision.

22.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms to any successor or affiliate without restriction, including in connection with a merger, acquisition, or sale of assets.

22.5 Language

These Terms are provided in English. If we provide a translation, the English version prevails in case of conflict, except where UAE law requires otherwise.
